By placing an order, you agree with the following terms of sales and warranty. Any changes to the terms of sales must be agreed with MetaSci prior to placing the order.

Please direct all orders to info@metasci.ca. All orders should list a Purchase Order, exact shipping and billing address, name, telephone number and e-mail of the recipient.  We do not accept order by fax.

You accept to receive emails as a means of communication for ordering, billing and shipping purposes.

By Purchasing any of the MetaSci product, including information and services, you take full responsibility for proper use of the product. Without limiting the generalities foregoing, you take and accept full liability for personal injury damages, punitive damages, lost profit or revenues, loss of use of product or equipment and any loss of property that may result from the purchase of product or services from MetaSci. You agree to indemnify and hold harmless MetaSci, its suppliers, agents, owners, shareholders and employees, as the case may be, for and against any and all losses, damages and expenses, including legal fees and other costs of defending any action that MetaSci may sustain or which may occur as a result of any claim of negligence of contract or other claims or theories of law by you, your officers, agents, or employees, your successors or assignees, your customers or other persons, whether direct or indirect in connection with the unsafe, improper or illegal use, or an unintended use of any chemical or product or services provided.

You accept to use MetaSci products, including information, services and reagents are to be used for research and development purposes and NOT FOR HUMAN OR ANIMAL CONSUMPTION or USE.  Research products properties are not fully investigated/known and should be handled by trained personnel only.

The currency used in all transaction is US dollar. Buyer may pay by Wire Transfer or Corporate Cheque. We do accept credit cards.

A minimum purchase of 50 metabolites applies.

If the buyer fails to pay the total of the invoice in 30 days, 8.99%/annum of interest will be charged to their account, all services may be suspended and a re-activation fee may apply.

Terms of sales is Net 30 days,1%/10, FOB DAT Toronto International Airport , unless otherwise noted.

For orders under $5,000, a full payment is required prior to shipping the package. For orders more than 5,000 USD, 50% of the total payment is due prior to shipping.

The shipment is NOT insured for any amount higher than $100. To purchase extra insurance from FEDEX for your package please contact us. MetaSci will assume no responsibility to make a claim for default in shipping to the courrier after the shipment is on board. The shipment is Free On Board at the Pearson International Airport.

The products will be typically released 3-5 business days after receipt of the payment. All products will ship on a Monday to provide enough time for Customs clearance.  However, certain type of products need preparation that may take up to 60 days. The seller will confirm the shipping date with the buyer, where the buyer means either the recipient of the shipment or the consignee of the Purchase Order. Every attempt will be made to ship your order as soon as possible as it is received. In case the buyer wishes to cancel the order before the shipping date agreed, a 25% re-stocking fee may apply.  In case we are unable to ship the any product up to 60 days after the agreed date, the order may be cancelled with no charges.

MetaSci commits to provide a certain number of metabolites as reflected on the quote. The composition of the library may slightly change depending on our stocks. If the Buyer is interested in purchasing certain compounds, it should be confirmed with MetaSci prior to placing order and the list of metabolites must accompany the quote. When there is no list of metabolite attached to the quote, MetaSci commitment is limited to deliver a certain number of metabolites, as reflected on the quote, regardless of the composition of the library. When MetaSci can not deliver any number of metabolites in the kit for any reason, it will only refund the payment equal to the number of metabolites not delivered. Any product at any amount that are delivered and are received are not refundable.

All quotations are valid for 30 unless mentioned otherwise.

If a product or a portion of it is out of stock, we will replace it with another product or parts of other products after confirming with the buyer. If the buyer does not agree to replacement, we will cancel the order at no charge and a new order needs to be placed.

All orders will ship by Federal Express International First or International Priority , whichever can deliver faster. We do not use any other couriers. In case you would like the shipping fee to be charged to your account directly by FEDEX, you need to notify MetaSci on the Purchase Order, and insert your FEDEX account number on it. Although we will follow the product delivery closely, we cannot guarantee that FEDEX will provide a cold room to keep the products for long term storage, especially when an import delay occurs.

MSDS are shared with the user free of charge in print or online via MSI+ or electronic mail. MetaSci is not responsible for the accuracy of the content and the information provided in MSDS by third party whatsoever. Where the MSDS is a copyright of the copyright holder, it remains a property of the copyright holder and its authors.

The customer is responsible for acquiring the import permit and any other necessary documents to demonstrate compliance with National and International customs regulations, including but not limited to TSCA Certificate, VAT exemption, and  proper Tariff codes. MetaSci is not responsible for shipping delays and its consequences caused by the customer, its representative(s) or the import brokerage.The Buyer agrees to investigate the specifications of products closely before placing an order and make sure importing, purchasing, handling or distributing MetaSci product does not violate any National, State and Provincial regulations in the destination address and in the destination where the Buyer's clients are registered and/or reside.

If the shipment contains Dangerous Goods (DG), it may be shipped in two separate shipments and the shipping cost will be charged to the customer's account. Extra charges may apply to shipping packages which contain DG, due to packaging requirements.

If you wish  to use your own brokerage you must notify MetaSci on the Purchase Order. Otherwise FEDEX will use its  import brokers. MetaSci is not responsible for any delays caused by FEDEX brokerage or the buyer's assigned brokers.

Any value added tax, sales tax, excise tax, duty, customs, inspection or testing fee or charge of any nature whatsoever imposed by any governmental authority, on or measured by the transaction between the Seller and the Buyer shall be paid by Buyer in addition to the prices quoted or invoiced. In the event the Seller is required to pay any such tax, fee, or charge, the Buyer shall reimburse the Seller; or, in lieu of such payment, the Buyer shall provide the Seller, at the time the order is submitted, an exemption certificate or other document acceptable to the authority imposing the tax, fee or charge.

MetaSci makes every effort to track the shipment and help with facilitating the delivery to the customer. However, our Terms of Sales is DAT ORIGIN (Toronto Pearson International Airport). Once the product is onboard the customer is responsible to track the shipment and assure it has the proper paperwork for Customs clearance. The Buyer is encouraged to contact FEDEX as soon as the package is shipped and to communicate their tax ID and delivery address to facilitate the delivery. MetaSci has no authority on the shipment once it is on board of the Aircraft. MetaSci does not accept returns due to shipping delays that is incurred outside Canada.

Any claims regarding shortage, quality or incorrect product should be made immediately upon receipt and inspection of material within 7 business days. We will not accept returns if made after 7 business days after the delivery is made.  The Buyer pays the shipping fee.

All disputes as to the legality, interpretation of these terms and conditions, shall be governed by the laws of the Province of Ontario, Canada. MetaSci makes all the reasonable efforts to agree and comply with the general terms of trade implemented by the buyer. In case of any dispute or discrepancy the MetaSci Terms of Sales supercedes any other agreements agreed to.

Warranty: MetaSci warrants that its products shall conform to the description of such products as provided to Buyer by Seller through Seller's catalog, analytical data or other literature. In case Buyer is not satisfied with the product, find the product to be defective or nonconforming, a replacement of such products or part of the product with or without charge and/or refund of the purchase price, may be made in MetaSci's sole discretion, and upon the return of such products in accordance with MetaSci's instructions. Buyer takes and accepts full liability for personal injury damages, punitive damages, lost profit or revenues, loss and damage to products or equipment and any loss of property that may result from the purchase, handling and use of product from MetaSci. Buyer agrees to indemnify and hold harmless MetaSci, its suppliers, agents, owners, shareholders and employees, as the case may be, for and against any and all losses, damages and expenses, including legal fees and other costs of defending any action that Seller may sustain or which may occur as a result of any claim of negligence of contract or other claims or theories of law by Buyer, its customers and its auxiliary personnel, whether direct or indirect in connection with the unsafe, improper or illegal use, or an unintended use of any chemical or product or services provided. MetaSci makes no warranty, express or implied, including any implied warranty of merchantability or fitness for any particular purpose. MetaSci may not provide a Certificate of Analysis (CoA) for certain products. No waaranty may be claimed against the lack of CoA.

Seller's products are intended only for laboratory research purposes and are not to be used for any other purposes, including but not limited to, in vitro diagnostic purposes, foods, drugs, medical devices or cosmetics for humans or animals, clinical diagnostics, clinical application, or household chemicals, commercial products or for any other commercial purposes. The user acknowledges that the products have not been tested by MetaSci for safety and efficacy in food, drug, clinical diagnostics, medical device, cosmetic, commercial or any other use. Buyer expressly represents and warrants to MetaSci that Buyer will properly handle, transfer and use any products purchased from MetaSci and/or materials produced with products purchased from MetaSci in compliance with the practices of a person who is an expert in the field, trained to comply with the lab safety rules and culture and in compliance with all applicable National and Provincial laws and regulations. Buyer accepts the responsibility to research, learn and verify the hazards involved in using products purchased from MetaSci. Buyer must warn Buyer's customers and any related personnel (such as lab technicians, freight handlers, etc.) of any risks involved in using or handling the products. Buyer agrees to comply with instructions, if any, furnished by Seller relating to the use of the products and not misuse the products in any manner.

Buyer agrees to comply with all laws that conform the responsibility and liability to purchase, make transactions, use, transfer, distribute and export MetaSci products in the USA and Canada.

Buyer specifically agrees to research, learn and comply with all regulations inside the USA and Canada that may address a responsibility or liability to export MetaSci products and technologies out of the USA and Canada.

Buyer specifically agrees to research, learn and comply with all regulations that may address a liability to re-distribute MetaSci products and technologies within the USA and Canada.

Buyer shall hold harmless, defend and indemnify MetaSci Inc. for its use, transfer, distribute and export of MetaSci products and technologies to the Buyer and the Buyer's customers. Buyer shall maintain business insurance in amounts reasonable for businesses of a similar nature.

Buyer will be liable for and will defend, indemnify, and hold harmless MetaSci Inc. and its officers, directors, agents, employees, successors and assigns from and against any liability, loss, damage, cost, or expense (including reasonable attorneys' fees) arising out of (a) Use, access to use handling, transfer, distribution and export of MetaSci products, violation of this Agreement, violation of applicable law, or violation of any right of any person or entity, including without limitation Intellectual Property Rights; (b) any allegation that Buyer did not comply with Canadian or USA law in their assigned jurisdiction or any other jurisdictions in the USA and Canada.

Buyer agrees to hold MetaSci harmless of fees arising from its or its customers' legal obligations, including but not limited to environmental fees, shipping and handling, chemical warfare conventions compliance, sanction compliance, taxes, duties and insurance.

MetaSci shall not be liable for any damage, claim of shortcoming or warranty that arises due to the Buyer's negligence. Where the Buyer re-sells, re-distributes or re-exports the product, the Buyer is responsible for paying any fees arising from damage or re-stocking of returned products.

MetaSci will not accept any payment, refund or credit from the Buyer's customers or clients. MetaSci does not ship to the Buyer's customers or clients. Buyer shall not re-direct/re-route MetaSci Products. The product must be received by the Buyer or its legal representatives at the address that MetaSci shipped to. The product is a property of the Buyer after receiving it.

This agreement does not allow purchase, make transactions, use, transfer, distribute and export MetaSci Intellectual Properties, whatsoever.

By accepting this agreement, you certify that you are legally authorized to make this agreement binding and effective to represent in any court of law in any jurisdiction in the USA and Canada.
